QCHP.B Investment
QL FIT / QCHP.B / ELIGIBLE ACCREDITED INVESTORS
Invest in the economics
of a bigger idea.
QCHP.B conveys contractual cash-flow rights tied to QL Fit’s ecosystem. Eligible accredited members, employers, and other accredited investors can participate under the applicable arrangement. Ongoing purchases are separate from the current US$20 million investor offer.
PROPOSED FINANCING
US$20 million
Separate investor offer; distinct from ongoing member and employer purchases
INSTRUMENT
Cash-flow rights
Not traditional company equity
ELIGIBILITY
Accredited investors
Subject to verification and offering terms
The financing description reflects the current proposal. Final terms and availability require definitive documents.
QCHP.B / TWO PURCHASE ARRANGEMENTS
One ecosystem.
Distinct arrangements.
ONGOING MEMBER & EMPLOYER PURCHASES
Hold beyond the employment relationship.
Accredited individual members and eligible accredited employers can purchase QCHP.B outside the $20 million offer. These purchases have no scheduled return of the purchase amount.
EMPLOYER PARTICIPATION
Your holdings stay with your business.
Employers are encouraged to evaluate QCHP.B as they join the growing QL Fit employer network. Employer-held QCHP.B stays with the employer when employees leave, retire, or move to another company. Associated contractual rights continue under the governing terms; distributions depend on results.
SEPARATE US$20 MILLION OFFER
A defined capital-recovery proposal.
Eligible accredited investors may participate whether or not they are employers. The proposed end-of-2028 arrangement repurchases half their original QCHP.B for the full original investment amount, leaving them holding the other half.
How the proposed 2028 repurchase works
For example, an investor purchases $100,000 of QCHP.B through the separate offer. Under the proposed arrangement, QL Fit repurchases half those holdings at the end of 2028 for $100,000. The investor then retains the remaining half after recovering the original investment amount.
The repurchase applies to the separate $20 million offer. It does not apply to ongoing member or employer purchases. Repurchase obligations, conditions, funding, and continuing rights must be set out in the definitive documents. Tax treatment is separate from cash recovered.
THE COMMERCIAL THESIS
Useful membership.
Connected commerce.
Disciplined development.
01 / MEMBERSHIP
A relationship with people.
Health education and community form the entry point. The operating case depends on acquiring and retaining members who value the available offering.
02 / QL LOOP
Demand meets commerce.
QL Loop connects purchases with suppliers and related businesses. Sales and agreed transaction fees can contribute to QL Fit revenue, after relevant costs.
03 / QL VEST
Demand informs evaluation.
QL Vest is intended to evaluate businesses and assets relevant to member demand. Member interest can inform diligence; it does not eliminate commercial or investment risk.
UNDERSTAND WHAT YOU WOULD HOLD
A defined economic right.
A separate decision.
| Question | Membership | QCHP.B |
|---|---|---|
| Primary purpose | Access to available member benefits | Contractual cash-flow participation |
| Who can participate? | Individuals and employer-sponsored employees, under member terms | Eligible accredited investors, subject to verification |
| Company ownership | No investment ownership through membership | No traditional company equity ownership |
| What governs it? | Enrollment and membership agreement | Definitive offering and subscription documents |
| Financial return | Membership is not an investment | Distributions depend on results, costs, and defined terms |
Qredits are a separate purchasing-benefit concept. They are not QCHP.B, and no conversion right has been established.
FOR EMPLOYERS AND OTHER INVESTORS
Alignment is the idea.
Diligence is the next step.
An employer can introduce employees to QL Fit and separately assess participation in the wider ecosystem. Each decision should stand on its own.
ECONOMICS
Understand the waterfall.
Request the precise economic pool, distribution priorities, reinvestment policy, expenses, and treatment on a sale or winding up.
EXECUTION
Assess the operating case.
Review the business model, current traction, uses of proceeds, cash runway, and the assumptions behind growth.
RIGHTS & RISKS
Read the actual documents.
Review reporting, conflicts, governance, transfer restrictions, and liquidity alongside the risk factors and definitive rights.
INVESTOR QUESTIONS
Ambitious vision.
Clear boundaries.
The proposed structure conveys contractual cash-flow rights tied to QL Fit economics rather than traditional ownership of company shares. The definitive documents must specify the issuer, economic pool, enforceable rights, and distribution terms.
Distributions are not guaranteed. The separate $20 million offer includes a proposed end-of-2028 repurchase of half the original QCHP.B for the full original investment amount. Ongoing member and employer purchases have no scheduled capital repayment. Final obligations and conditions are governed by definitive documents; investors may lose some or all of their investment.
Employer membership access is separate from investment eligibility. A company considering QCHP.B must satisfy the applicable accredited-investor criteria and verification requirements; employing members does not itself establish eligibility.
Do not assume liquidity or a secondary market. Review transfer restrictions and any available exit provisions in the definitive documents.
Request investment information and the status of the definitive offering materials. Review the actual economics and rights with your legal, tax, and financial advisors before deciding.
